1. Agreement to Terms

These Terms of Service ("Terms") govern your use of ActionSource ("Service"), a campaign management platform provided by ActionSource ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

2. Description of Service

ActionSource is a Software-as-a-Service (SaaS) platform that enables users to:

• Create and manage campaign source codes
• Collaborate with team members on projects
• Integrate with CRM platforms and marketing tools
• Export campaign data and analytics
• Customize campaign fields and parameters

3. User Accounts and Registration

To use our Service, you must create an account using Google OAuth or Microsoft Azure AD. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Providing accurate and current information
• Notifying us immediately of any unauthorized use

4. Subscription Plans and Billing

Free Trial

We offer a 14-day free trial of ActionSource Pro. During the trial period, you have access to all premium features. No charges will be made during the trial period.

Subscription Billing

After your trial ends, you will be charged the applicable subscription fee:

• Monthly Plan: $75 CAD per month
• Annual Plan: $765 CAD per year (15% discount)

Subscription fees are charged automatically through Stripe. All fees are non-refundable except as required by law or as specified in our refund policy below.

5. Cancellation and Refunds

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellations will take effect at the end of your current billing period.

Refund Policy

We offer prorated refunds in the following circumstances:

• Service downtime exceeding 72 consecutive hours due to our fault
• Billing errors or unauthorized charges
• Account termination by us due to our error

Refund requests must be submitted within 30 days of the billing date. Refunds are processed through the original payment method.

6. Acceptable Use Policy

You agree not to use our Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or attempt to gain unauthorized access
• Engage in harassment, spam, or abusive behavior
• Use the Service for illegal campaigns or activities
• Reverse engineer or attempt to extract source code
• Resell or redistribute the Service without permission

7. User Content and Data

You retain ownership of all data, content, and information you upload to our Service. By using our Service, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service.

You are solely responsible for the content you create and share. We are not responsible for how you use the campaign codes or content generated through our platform.

8. Team Collaboration and Access

ActionSource Pro subscribers can invite team members and grant domain-based access to projects. As a project owner, you are responsible for:

• Managing team member permissions and access levels
• Ensuring team members comply with these Terms
• Maintaining the security of shared project data
• Any actions taken by team members on your projects

9. Service Availability and Support

We strive to maintain high service availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or other operational reasons.

Support is provided through our Discord community and email. We aim to respond to support requests within 48 hours during business days.

10. Intellectual Property

The ActionSource Service, including its software, design, text, graphics, and other content, is owned by us and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works of our Service without our express written permission.

11. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

12. Disclaimers and Limitation of Liability

Service Provided "As Is": Our Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

Limitation of Liability: To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

13. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that violates these Terms or is otherwise harmful to the Service or other users.

Upon termination, your right to use the Service will cease immediately. We may delete your account and data, though we may retain certain information as required by law or for legitimate business purposes.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of Canada, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will be resolved through binding arbitration or in the courts of Canada.

You acknowledge that no joint venture, partnership, employment, or agency relationship exists between you and ActionSource as a result of your use of the Service.
